How Hospital Mergers Increase Health Costs, and What to Do About It

Photograph of Massachusetts General Hospital, ... The Bulfinch Building of the Massachusetts General Hospital. Image via Wikipedia

Last summer, I penned a blog post entitled “Hospital Monopolies: The Biggest Driver of Health Costs That Nobody Talks About.” It ended up being one of my most widely-read pieces last year. “I agree that changing the way we buy health care is important,” I wrote then. “But there’s an entire other side to that equation that we completely ignore: changing the way we sell health care.”

In November, the Massachusetts Association of Health Plans asked me to speak at their 2011 annual conference, on the topic of hospital consolidation. Given Massachusetts’ central role in the debate over health reform, and the top-notch health policy thinkers in the Boston area, I readily accepted.

In the 31-minute video below, I cover a number of historical topics, including: (1) how hospital mergers spiked in response to pressure from insurers to reduce health spending; (2) how early studies from economists failed to identify how hospital mergers drive up the price of health care; (3) how newer studies suggest that concentrated hospital markets lead to pricing increases of as much as 44 percent; (4) how government-subsidized health programs, such as Medicare, drive the problem of hospital consolidation. If you want to follow along, download the slides before watching the video.

In the second half of the talk, I discuss what can be done about the problem. There are basically two plausible approaches: (1) increase the market power of payors, either using single-payer health care or private insurance monopsonies; or (2) decrease the market power of providers, so that both payors and providers are equally fragmented. To me, option (2) makes much more economic sense, and is also more politically practical than trying to achieve single-payer health care.

However, as I discuss in the talk, the problem is that when the U.S. Department of Justice and the Federal Trade Commission have tried to block anti-competitive hospital mergers in court, judges have sided with the hospitals, against the officials at DOJ/FTC. So judges need to do a better job of understanding the economic evidence that weighs against hospital mergers.

In addition, we need to be mindful of how accountable care organizations, or ACOs, could worsen provider consolidation. We need to modernize the certificate-of-need regulations, and other laws, that stymie the construction of new hospitals that can compete with the well-connected incumbents. And we need to harmonize state medical licensing laws, so that insurers can send their patients to cheaper providers across state and national borders.

I got some excellent questions in the Q&A portion of the talk. Nancy Turnbull of Harvard asked me: in places where the “horses have already left the barn” and the hospitals have already merged, what can we do about it? Lynn Nicholas, CEO of the Massachusetts Hospital Association, asked: aren’t insurer monopolies also a problem? Others pointed out the fact that longer-term trends of decreasing hospital utilization are also driving consolidation, which makes it harder to justify building new hospitals.

Watch the video to see how I responded. The bottom line is not reassuring: it’s that there are no simple solutions to this very serious problem, which is why need to pay far more attention to it than we do.

ICSA Labs Certifies First Hospital Under Its Electronic Health Record Testing Program

LAS VEGAS, Feb. 21, 2012 /PRNewswire/ -- At the HIMSS Conference on Tuesday (Feb. 21), ICSA Labs announced its first certification of an IT system that is currently deployed by a hospital.  The hospital, Via Christi Health, earned the certification under ICSA Labs' electronic health record program.  Previous certifications had been limited to commercial off-the-shelf and open-source solutions.

Via Christi Health, which provides a network of health care services via hospitals, doctors, specialty clinics and senior centers in Wichita and south central Kansas, demonstrated that its custom software is compliant with standards set forth by the U.S. Department of Health and Human Services' Office of the National Coordinator for Health Information Technology for electronic health records.  This certification from ICSA Labs demonstrates that Via Christi Health's software follows patient-care best practices and enables the secure exchange of patient records.

Via Christi Health uses its internally developed health IT software to help manage patient records throughout its facilities. In preparing to earn its ONC certification, Via Christi Health had to decide whether to invest in new software that was already certified or to certify and use the custom software the hospital system already had in place.

"Certifying our own software not only proved more cost effective for Via Christi Health, it was significantly less disruptive for our doctors and caregivers," said Dave Gestenslager, application architecture manager, Via Christi Health. "Instead of asking our doctors to switch to a new solution, our physicians were able to continue to use software with which they were already familiar. This enabled them to focus on delivering excellent patient care, instead of learning new technology."

Amit Trivedi, health care program manager, ICSA Labs, said: "By certifying its own software versus transitioning to new software, Via Christi Health is a great example of how certification for electronic health records promotes technology use in a meaningful way to allow for better economics and improved access to patient information.  The testing of custom EHR solutions for eligible providers and hospitals like Via Christi Health enables physicians and staff to effectively use certified health technology."

ICSA Labs is designated as an Authorized Testing and Certification Body by the Office of the National Coordinator for Health Information Technology, and is authorized to test complete EHR solutions as well as modular ones that address a specific IT function.  To learn more or enter a product into the testing process, visit ICSA Labs' Electronic Health Record Testing and Certification page.

Strategic Behavioral Health, LLC Acquires Montevista Hospital and Red Rock Behavioral Health in Las Vegas

MEMPHIS, Tenn.--(BUSINESS WIRE)-- Strategic Behavioral Health, LLC (SBH), a national provider of inpatient and outpatient services, announced that effective January 1, 2012, it has acquired the assets of Montevista Hospital (Montevista) and Red Rock Behavioral Health Hospital (Red Rock) located in Las Vegas, Nevada from Universal Health Services, Inc. (UHS). The acquisition is being made pursuant to the divestiture requirements agreed upon by the Federal Trade Commission, the Nevada Attorney General, and UHS following UHS’s acquisition of Psychiatric Solutions. SBH is a portfolio company of Dobbs Management Service, LLC (DMS) which represents the John Hull Dobbs family of Memphis.

The Montevista and Red Rock facilities are licensed acute psychiatric hospitals with 101 total beds providing services on two campuses in Las Vegas. Montevista has served Las Vegas for over 25 years as a provider of acute behavioral healthcare services including geriatric, adult, chemical dependency, and child and adolescent areas. Montevista’s sister facility, Red Rock, was established in 2005 to expand inpatient acute behavioral services to the geriatric population. The facilities bring the total existing or planned beds for Strategic Behavioral Health, LLC to over 350 beds in North Carolina, Colorado, and Nevada across five facilities.

Ben Winbery, Chief Executive Officer of both the Montevista and Red Rock facilities commented, “I am very pleased to be joining such a solid company with a true commitment to quality clinical care and a long-term view of the operations.”

Jim Shaheen, Founder and Chief Executive Officer of SBH, stated in a press release, “We are excited to be entering the Las Vegas market through the acquisition of Montevista and Red Rock. We are impressed with its management and staff and their attention to patient-centered care. We believe we have an opportunity to significantly grow both facilities.”

Shaheen added, “While SBH has historically focused on organic growth through the opening of new facilities, this acquisition was too attractive to pass up given the expansion opportunities it presents. Because of the high quality care being provided by the facilities, both are operating at or near capacity. As a result, we will be adding 60-80 additional beds at the Montevista site. We anticipate that construction will begin in 2012.”

Edward Dobbs, President of DMS, commented, “This Las Vegas acquisition is highly complementary to SBH’s existing assets and provides a great base for further growth. We look forward to additional opportunities to invest in SBH’s growth through greenfield facilities and highly selective strategic acquisitions. Our long-term goal is to make SBH a leading private provider of behavioral healthcare services in the nation.”

SBH worked with Fifth Third Bancorp, First Tennessee Bank, and Pinnacle Financial to finance the Montevista and Red Rock acquisitions. When coupled with the financing for the expansion of North Carolina and Colorado operations, the financing provides $40 million in funding with the ability to expand for future projects.
